Scope of the terms of use
The Terms of Use standardize the legal framework for the use of SOLID PLUS. They apply between AEB SE and the companies that license SOLID PLUS.
Only SOLID FREE is available to natural persons. Natural persons are excluded from licensing SOLID PLUS.
Scope of services of SOLID PLUS
SOLID is a tool for identifying and verifying export control risks. Based on specific questions, SOLID guides users through various export control-related topics. The questionnaires either lead to a test result or provide the user with a basis for making a decision on how to proceed.
SOLID PLUS users have comment fields for their own notes.
The use of SOLID PLUS is at the user's own responsibility and does not guarantee binding test results, nor does the use of SOLID release the user from the obligation to familiarize themselves with the legal regulations. The content and scope of the legal provisions mentioned in SOLID may change. The current official version as published in the official promulgating organ provided for this purpose shall always apply.
AEB SE does not endorse the content of external websites to which a link is provided.
SOLID does not offer any legal services; it is the responsibility of the users themselves to contact a lawyer if necessary or to contact the responsible licensing authorities.
SOLID PLUS documents the checks carried out and the user's notes in the comment fields. Users have the option of creating a results log for each completed check. The user's details and the test result are recorded in the results log.
Support is generally not offered for SOLID. Where possible, the SOLID team provides support for questions relating to SOLID unterinfo@solid-app.de. The SOLID team can commission third parties to provide support to any extent.
Obligations of the users
It is the sole responsibility of the user to answer the questions raised in the various questionnaires accurately and completely. AEB SE has no influence on this and no control obligations. The final evaluation of the results generated on the basis of the user input is the sole responsibility of the users. It is expressly pointed out that the responsibility for the careful and legally compliant processing of export control procedures lies exclusively with the users. SOLID serves as a tool that can be used to support export control checks.
The users themselves are responsible for the careful and comprehensive backup of their data. Access to the user's checks logged by SOLID PLUS is only possible while SOLID PLUS is licensed. After the end of the contract, users can no longer access their test results. If the account is deleted, all test protocols stored in SOLID PLUS are irretrievably lost.
Use of the online sanctions list check
With the online sanctions list check, SOLID offers a comparison of your own name and address data with third-party data content. The data content provided has been consolidated by third parties, usually public authorities. AEB SE has no influence on the sources or on the creation and availability of the consolidated data content.
AEB SE does not guarantee the editorial quality, timeliness, completeness or accuracy of the data content provided by SOLID. AEB SE does not adopt the content of the external data sets as its own at any time.
The online sanctions list check may only be used in accordance with the requirements of the GDPR. The checking of first and last names of natural persons for a possible listing must be checked by the user for legality in accordance with the GDPR.
Liability
AEB SE is liable without limitation for damages resulting from injury to life, limb or health, from the breach of essential contractual obligations (cardinal obligations) or other legally regulated cases if these are based on an intentional or grossly negligent breach of duty by AEB SE or its vicarious agents.
Material contractual obligations are those that arise from the nature of the contract and whose breach jeopardizes the achievement of the purpose of the contract, including obligations that the contract imposes on the provider according to its content in order to achieve the purpose of the contract, the fulfillment of which makes the proper execution of the contract possible in the first place and on whose compliance the user may regularly rely.
If material contractual obligations are affected, AEB SE's liability for slight negligence is limited to the foreseeable damage typical of the contract. Liability in the event of negligence is limited to the foreseeable damage typical of the contract at the time the contract was concluded. Liability is capped at the maximum annual amount payable by the user in the last twelve months prior to the event causing the damage.
Liability for damages not typical for the contract, consequential damages and loss of profit is excluded.
In the event of a breach of insignificant contractual obligations, liability for slightly negligent breaches of duty is excluded.
Data communication via the Internet cannot be guaranteed to be error-free and/or available at all times according to the state of the art. In this respect, AEB SE is not liable for the constant and uninterrupted availability of the website and the tests offered there.
Prices, terms of payment
Fees are charged irrespective of actual use. Any refund is excluded. The prices quoted are net prices. They are subject to the applicable statutory value added tax. Any taxes or duties incurred outside Germany shall be borne by the user.
The following payment options are available:
- Payment by invoice
- Payment by PayPal or credit card (via Paddle) - currently not yet available
Payment by invoice
If the invoice payment method is selected, the subscription will be billed annually by AEB SE. Payment of the prorated annual subscription fee for initial licensing is due 14 days after invoicing. For subsequent annual subscriptions, AEB SE will issue an invoice. The subsequent payment is due 14 days after invoicing.
Payment by PayPal or credit card (Paddle)
If the payment method PayPal or credit card is selected, payment is processed via the payment service provider Paddle.com Market Limited. By concluding the contract, users of this option agree to Paddle's Terms and Conditions. After the data transfer, Paddle will immediately debit the PayPal or credit card account for the first monthly fee and immediately activate SOLID PLUS. The invoice is sent by e-mail and can also be accessed directly in your personal SOLID account as a PDF.
The first monthly subscription begins on the day the contract is concluded. Subsequent monthly subscriptions are automatically collected and invoiced via Paddle.
AEB SE reserves the right to adjust prices. Such an adjustment shall only be effective for the future. Users will be informed of price changes at least one month before they come into effect. No further explanation or user consent is required. Price changes trigger a special right of termination for users. Users can exercise this right from receipt of the adjustment notification and terminate SOLID PLUS as of the date on which the price increase takes effect. AEB SE will then downgrade to SOLID FREE.
Contract term and termination
The contract term varies depending on the selected payment method.
Payment by invoice
When paying by invoice, the contract term begins after the confirmation email from AEB SE is sent to the SOLID PLUS user. If SOLID PLUS is activated before the confirmation email is sent, the contract term begins with the activation of SOLID PLUS. The contract term is not limited in time.
The contract is concluded until the end of the year for initial licensing. The contract is then renewed on January 1 of each year for an indefinite period.
Ordinary termination of the subscription is possible in writing at any time up to four weeks before the end of the year. Cancellations by e-mail should be sent to the following e-mail address richten:info@solid-app.de/solid_accounting@aeb.com. The date of receipt of the notice of termination is decisive.
In the event of late payment, AEB SE is free to set the account in question to SOLID FREE after setting an unsuccessful deadline. Access to the results logs is then no longer possible.
Payment by credit card/Paypal (Paddle)
The contract period begins with the activation of the upgrade to SOLID PLUS, which takes place immediately after the payment details have been submitted. The subscription is then extended indefinitely by a further month for an indefinite period. The contract can be terminated at any time. SOLID PLUS remains available to users after termination until the end of the paid period. After that, an automatic downgrade to SOLID FREE takes place. Access to the results logs is then no longer possible.
Users are not entitled to the activation of SOLID PLUS. By licensing SOLID PLUS, users agree to the terms of use and consent to the privacy policy. In the event of a breach of these terms of use, AEB SE is entitled to terminate the user relationship extraordinarily and without notice.
AEB SE reserves the right to change SOLID or to discontinue it temporarily or permanently. The users of SOLID PLUS will be informed by e-mail in good time so that the necessary organizational measures can be taken.
Duplication
The content of the websitewww.solid-app.deist is subject to copyright and other intellectual property rights. The content may not be copied, distributed, modified or made accessible to third parties for commercial purposes. The pages may also contain texts, images and other works that are subject to third-party copyright.
Users are permitted to make full use of their own test reports stored in the test results for their own purposes.
Other
To the extent permitted by law, the place of jurisdiction for all disputes shall be determined by the headquarters of AEB SE, currently Stuttgart.
Should one or more of these clauses be or become invalid, this shall not affect the validity of the remaining terms and conditions.
